1. Acceptance of Terms
By accessing or using the Lumos Digital Solutions website and services, you agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, please do not use our website or services.
2. Our Services
Lumos Digital Solutions provides web design and development, digital marketing and branding, content and SEO strategy, and AI solutions. The scope, deliverables, and timeline of any engagement are defined in a separate proposal or agreement.
3. Client Responsibilities
Clients agree to provide accurate information, timely feedback, and any materials required to complete a project. Delays in providing these may affect agreed timelines and delivery dates.
4. Payment Terms
Fees, payment schedules, and invoicing terms are set out in your project agreement. Unless otherwise stated, invoices are due within the period specified on the invoice. Late payments may result in paused work.
5. Intellectual Property
Upon full payment, ownership of the final deliverables transfers to the client, except for third-party assets, licensed materials, and any proprietary tools or frameworks owned by Lumos. Lumos may display completed work in its portfolio unless otherwise agreed in writing.
6. Confidentiality
Both parties agree to keep confidential any non-public information shared during an engagement and to use it solely for the purpose of delivering the agreed services.
7. Limitation of Liability
Lumos Digital Solutions provides its services on a best-efforts basis and is not liable for any indirect, incidental, or consequential damages arising from the use of our website or services, to the fullest extent permitted by law.
8. Termination
Either party may terminate an engagement in accordance with the terms of the project agreement. Fees for work completed up to the termination date remain payable.
9. Governing Law
These Terms are governed by the laws of the Province of Ontario and the applicable laws of Canada, without regard to conflict-of-law principles.
10. Changes to These Terms
We may update these Terms from time to time. The most current version will always be posted on this page, with the effective date noted above.
